1. Introduction

Welcome to Kryptr.

Thank you for using Kryptr.

These Terms of Service (“Terms”) govern your access to and use of the Kryptr website, platform, applications, simulations, learning environments, tools, APIs, and related services (collectively, the “Services”).

The Services are owned and operated by Kryptr Limited, a company incorporated under the laws of the Federal Republic of Nigeria (“Kryptr,” “we,” “us,” or “our”).

By accessing, registering for, browsing, or using any part of the Services, you agree to be legally bound by these Terms, together with our Privacy Policy, any applicable Data Processing Addendum (DPA), and any additional policies or guidelines referenced herein (collectively, the “Agreement”).

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.

If you are accepting these Terms on behalf of a company, institution, government body, or other legal entity, you represent and warrant that you have the authority to bind such entity to this Agreement.

2. Definitions

For purposes of these Terms:

●     “Account” means a registered user account created to access the Services.

●     “Account Owner” means the individual or legal entity that registers for the Services and is the contracting party under this Agreement.

●     “AI Technologies” means artificial intelligence, machine learning, algorithmic, statistical, or automated systems used within the Services, including models, prompts, parameters, and outputs.

●     “Content” means all information, data, text, graphics, images, videos, simulations, assessments, documents, software outputs, AI-generated content, and other materials made available through the Services.

●     “User Content” means Content uploaded, submitted, generated, or otherwise provided by Users.

●     “Kryptr Content” means Content owned, licensed, or developed by Kryptr, including simulations, curricula, frameworks, methodologies, software, branding, interfaces, and documentation.

●     “Programs” means learning programs, simulations, academies, cohorts, bootcamps, or training interventions delivered via the Services.

●     “Enterprise Services” means services provided to businesses, institutions, governments, donors, or partners, including simulation-as-a-service, workforce programs, and bespoke deployments.

●     “Sensitive Information” means government-issued identification numbers, financial account data, health data, biometric data, or any data classified as sensitive or special category data under applicable law.

●     “User” or “You” means any individual or entity accessing or using the Services, including learners, professionals, instructors, facilitators, experts, enterprise users, institutional partners, or visitors.

3. Account Terms

3.1 License to Use

Subject to your compliance with these Terms, Kryptr grants you a revocable, limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for lawful purposes and in accordance with this Agreement.

3.2 Eligibility

You must be at least 16 years old to use the Services independently.
If you are below the age of legal capacity in your jurisdiction, you may only use the Services with the express and verifiable consent of a parent or legal guardian, who assumes full responsibility for your use.

3.3 Registration Information

You agree to provide accurate, current, and complete information during registration and to keep such information updated at all times.

3.4 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your Account, whether authorised or unauthorised. Kryptr will not be liable for losses arising from unauthorised access resulting from your failure to safeguard credentials.

3.5 Communications

You acknowledge that Kryptr may use the email address associated with your Account as its primary method of communication and may send service-related, operational, administrative, and product-related messages. You may opt out of non-essential communications where legally permitted.

4. Account Ownership & Authority

●     If you register as an individual, you are the Account Owner.

●     If you register on behalf of an organisation or institution, that entity is the Account Owner, and you represent that you have authority to bind it.

●     If an Account is created for a minor, the parent or legal guardian is the Account Owner and remains fully responsible for the minor’s use of the Services.

5. Nature of the Services

Kryptr operates a multi-sided digital platform that supports:

●     Skills development and learning programs

●     Job simulations and work-integrated learning environments

●     Talent readiness, assessment, and career development pathways

●     AI-assisted diagnostics, feedback, and learning support

●     Enterprise, institutional, and donor-funded workforce solutions

Kryptr does not guarantee employment, placement, income, certification, or specific outcomes, unless expressly agreed in writing under a separate contract.

Unless expressly stated otherwise, Kryptr does not act as an employer, recruiter, staffing agency, or placement agent.

6. Acceptable Use

You agree that you will not, directly or indirectly:

●     Use the Services for unlawful, fraudulent, or unauthorised purposes;

●     Upload Content that infringes intellectual property, privacy, publicity, or contractual rights;

●     Upload false, misleading, defamatory, obscene, discriminatory, or harmful Content;

●     Reverse engineer, decompile, scrape, or interfere with the Services or underlying systems;

●     Circumvent pricing, access controls, usage limits, or security measures;

●     Use the Services to build, promote, or support competing platforms;

●     Upload malware, viruses, or malicious code;

●     Process or store Sensitive Information through the Services;

●     Misrepresent your identity, credentials, affiliations, or authority.

Kryptr reserves the right to monitor usage and enforce these restrictions.

7. User Content

7.1 Ownership

You retain ownership of your User Content.

7.2 License to Kryptr

By submitting User Content, you grant Kryptr a non-exclusive, royalty-free, sublicensable, and transferable license to host, store, modify, display, distribute, and process such Content as reasonably necessary to:

●     Operate, maintain, and secure the Services;

●     Improve and develop the Services;

●     Deliver Programs and Enterprise Services;

●     Promote Kryptr and its offerings (in aggregated or anonymised form where appropriate).

7.3 Responsibility

You are solely responsible for your User Content and any consequences arising from its use. Kryptr does not endorse User Content and disclaims liability for it.

8. Artificial Intelligence

The Services may include AI-generated outputs.

You acknowledge that AI outputs:

●     May be inaccurate, incomplete, or biased;

●     Are provided for informational and educational purposes only;

●     Do not constitute professional, legal, financial, medical, or career advice.

You are solely responsible for reviewing and validating AI outputs before relying on them.
You must not input Sensitive Information, confidential data, or regulated data into AI features.

9. Intellectual Property

All Kryptr Content, including  learning content, resources, simulations, software, methodologies, AI systems, branding, and documentation, remains the exclusive property of Kryptr or its licensors.

No rights or licenses are granted to you except as expressly stated in these Terms.

10. Fees, Billing & Taxes

Certain Services may require payment. Fees are billed in advance unless otherwise stated.

You are responsible for all applicable taxes unless expressly stated otherwise.
Refunds are not provided except where required by law or expressly agreed in writing.

Enterprise and institutional clients will be governed by separate commercial agreements.

11. Suspension, Downgrade & Termination

Kryptr may suspend, restrict, downgrade, or terminate your Account if it reasonably believes that:

●     You have violated these Terms;

●     Your activity is unlawful or harmful;

●     Such action is required to comply with legal or regulatory obligations; or

●     Your use poses a security, integrity, or operational risk.

You may terminate your Account at any time, subject to outstanding obligations.
Upon termination, access to the Services will cease. Data deletion may be irreversible, subject to legal retention requirements.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

KRYPTR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

●     KRYPTR SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES;

●     KRYPTR’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF:

○     THE FEES PAID TO KRY PTR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR

○     ₦50,000 (FIFTY THOUSAND NAIRA).

14. Indemnification

You agree to indemnify, defend, and hold harmless Kryptr, its directors, officers, employees, affiliates, and partners from any claims, damages, losses, or expenses arising out of:

●     Your use of the Services;

●     Your User Content;

●     Your violation of these Terms or applicable law;

●     Your infringement of third-party rights.

15. Privacy & Data Protection

Kryptr processes personal data in accordance with its Privacy Policy, applicable data protection laws, and any applicable Data Processing Addendum.

You remain responsible for obtaining all necessary consents for any personal data you provide to Kryptr.

16. Force Majeure

Kryptr shall not be liable for any failure or delay caused by events beyond its reasonable control, including acts of God, government actions, labour disputes, or system failures.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria.

All disputes shall be subject to the exclusive jurisdiction of the courts of Nigeria, unless otherwise agreed in writing.

18. Modifications to the Terms

Kryptr may update these Terms from time to time. Continued use of the Services after any modification constitutes acceptance of the updated Terms.

19. Entire Agreement

These Terms, together with the Privacy Policy and any referenced addenda, constitute the entire agreement between you and Kryptr concerning the Services and supersede all prior agreements.
